12. Fees and Payment
12.1 Service Fees
Fees for the Service are as described on our website at epipra.com or as agreed in writing. We reserve the right to change our fees with 30 days’ prior notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.
12.2 Advertising Spend

12.3 Refunds
Service fees are non-refundable unless otherwise specified in writing or required by applicable law. Advertising spend refunds are governed entirely by the refund policies of the respective advertising platform (Meta, Google, etc.) and must be requested directly through that platform. We have no ability to issue refunds for advertising spend.
12.4 Taxes
You are responsible for all applicable taxes, duties, and levies arising from your use of the Service. Our fees are exclusive of taxes unless stated otherwise.
13. Disclaimer of Warranties
Without limiting the foregoing, we do not warrant that:

- Meta, Google, or any other platform’s APIs or services will remain available, unchanged, or perform in any particular manner
- Ads created through the Service will be approved by Meta, Google, or any other platform
- The Service will be free of viruses, bugs, or other harmful components
- Any specific advertising spend level will be maintained or not exceeded due to platform behaviour
14. Limitation of Liability
This limitation applies to damages arising from:
- Your use of or inability to use the Service
- Unauthorised access to or use of our servers or your personal information
- Any interruption, suspension, or cessation of the Service

- Actions taken by Meta, Google, or other platforms regarding your ads, accounts, or campaigns
- Any bugs, viruses, or other harmful code transmitted through the Service by third parties
- Third-party content, advertiser practices, or external platforms
Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the total amount you paid to ePipra in the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless ePipra LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:
- Your access to or use of the Service

We reserve the right, at our own expense, to assume exclusive defence and control of any matter subject to indemnification by you. You agree to cooperate fully with our defence of any such claim.
16. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms, engage in fraudulent activity, or act in a manner that we determine to be harmful to the Service or other users.

You may terminate your account at any time by disconnecting your Meta account connections and contacting us at [email protected] to request account deletion. Termination does not entitle you to a refund of any fees paid.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration conducted in accordance with the rules of a recognised arbitration body, or in the courts of competent jurisdiction as determined by applicable law.
To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against ePipra. Both parties agree to attempt to resolve any dispute informally by contacting [email protected] before initiating formal proceedings.
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and ePipra LLC regarding the Service and supersede all prior agreements, representations, and understandings.
18.2 Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of a right must be in writing and signed by an authorised representative of ePipra.
18.4 Assignment
You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you.
18.5 Force Majeure
We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of war, platform outages (Meta, Google), regulatory actions, or internet infrastructure failures.
